Terms of Service

These Terms of Service ("Terms") govern your access to and use of Trusteo's services, including our website, APIs, and Trust Center platform (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Trusteo provides a Trust Center platform that enables businesses to create public-facing security and compliance portals. The Service includes:

  • Hosted Trust Center pages for displaying security posture and compliance information
  • Document management and secure sharing capabilities
  • NDA and email gating for controlled document access
  • Analytics and visitor tracking features
  • Custom domain and branding options (where available based on subscription plan)

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate
  • Keep your account credentials secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

4. Subscription Plans and Payment

Trusteo offers various subscription plans with different features and limitations. By subscribing to a paid plan:

  • You authorize us to charge your payment method for recurring subscription fees
  • Fees are billed in advance on a monthly or annual basis depending on your plan
  • You may cancel your subscription at any time; access continues until the end of the billing period
  • We reserve the right to modify pricing with 30 days notice

5. Refund Policy

We want you to be satisfied with Trusteo. Our refund policy is as follows:

  • Monthly Subscriptions: If you are not satisfied with the Service, you may request a full refund within 14 days of your initial purchase. After 14 days, no refunds will be issued for monthly plans, but you may cancel at any time to prevent future charges.
  • Annual Subscriptions: You may request a full refund within 30 days of your initial purchase. After 30 days, you may request a prorated refund for the unused portion of your subscription at our discretion.
  • Downgrades: If you downgrade from a paid plan to a free plan or lower-tier plan, no refunds will be issued for the current billing period. Your higher-tier access will continue until the end of the billing period.
  • Service Disruptions: In the event of extended service outages (more than 24 consecutive hours) caused by Trusteo, we will provide prorated credits toward your next billing cycle.

To request a refund, contact us at billing@trusteo.co with your account email and reason for the refund request. Refunds are processed within 5-10 business days and will be credited to the original payment method.

6. Your Content

You retain ownership of all content, documents, and materials you upload to the Service ("Your Content"). By uploading content, you grant Trusteo a limited license to:

  • Store, process, and display Your Content as necessary to provide the Service
  • Create backups and redundant copies for reliability purposes
  • Share Your Content with third parties only as directed by you through access controls

You represent and warrant that you have all necessary rights to Your Content and that it does not violate any third-party rights or applicable laws.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Use the Service for fraudulent or misleading purposes
  • Scrape, harvest, or collect data without authorization
  • Resell or redistribute the Service without permission
  • Upload content that is defamatory, obscene, or otherwise objectionable

8. NDA and Document Access

When you enable NDA gating for documents, you are responsible for:

  • Providing valid and enforceable NDA terms
  • Managing access requests and approvals
  • Maintaining records of NDA signatures as required for your compliance needs

Trusteo facilitates the NDA signing process but does not guarantee the enforceability of NDAs and is not a party to any NDA between you and your visitors.

9. Intellectual Property

The Service, including all software, designs, text, graphics, and other materials (excluding Your Content), is owned by Trusteo and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

10. Third-Party Services

The Service may integrate with or link to third-party services. Your use of such services is subject to their respective terms and policies. Trusteo is not responsible for third-party services or their availability.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice when possible. Scheduled maintenance will be communicated in advance.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUSTEO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO TRUSTEO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Trusteo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

15. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion. Upon termination, your right to use the Service will cease immediately.

16. Governing Law

These Terms shall be interpreted and governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or through the Service at least 30 days before taking effect. Continued use after changes constitutes acceptance of the updated Terms.
